Specialization in asset management, leasing, and management strategies and documentation for office, retail, and industrial projects, including in connection with form document preparation, all varieties of lease (e.g., bondable and credit leases, and anchor and chain store leases), lease-equity, build-to-suit, master lease, ground lease, and lease takeover transactions, and in the consummation of project related contracts, including base building and tenant improvement construction contracts, architect, engineering and other construction and consulting agreements, building and parking management agreements, broker listing and registration agreements. Further specialization in development issues such as CC&R, REA, land use issues and related agreements. Further specialization in CAM audit and landlord/tenant dispute resolution.

Emphasis on user strategies and documentation for office, industrial, and retail tenants, including in connection with form document preparation, all varieties of lease (e.g., bondable and credit leases, and anchor and chain store leases), lease-equity, build-to-suit, master lease, ground lease, and lease takeover, and lease with purchase option transactions, and tenant improvement construction, design, and other consultant contracts. Further specialization in CAM audit and landlord/tenant dispute resolution.

in commission disputes, breach of fiduciary duty and other claims involving professional liability, and negotiation and consummation of listing, registration, and employment agreements.

Recent Major Acquisitions/Dispositions: Purchase and sale of several office, retail, and industrial projects including:

· Sale of Fox Plaza in Century City, California by 20th Century Fox Film Corporation to LaSalle Partners in closed bid process.

· Sale of 650,000 square foot office tower in Denver, Colorado by undisclosed entity.

· Assemblage of multiple parcels for sites of Westside Pavilion Regional Mall addition in Westwood, California and Filmland Corporate Center office building in Culver City, California (Buyer's Counsel).

· Transfer of over 300 office and industrial properties located in over 25 states for group of affiliated companies controlled by Coca-Cola in corporate merger/consolidation.

· Co-Counsel for sale of Century Plaza Towers by Citicorp Real Estate/Prudential to J.P. Morgan.

· Sale of 500,000 SF 10960 Wilshire by Swiss Bank Corporation to Beacon Properties.

· Sale of 400,000 SF Canyon Corporate Center by Magellan Corporation to Trinet Realty.

· Purchase of several shopping centers in connection with acquisition programs for prominent institutional purchasers throughout the Southwestern United States.

Other purchase and sale projects include:

· Purchase of Beverly Hills Hotel in Beverly Hills, California by Miller/Davis from Boesky/Slatkins entity in closed bid process.

· Sale of Beverly Hills Hotel in Beverly Hills, California by Miller/Davis to Sultan of Brunei.

· Sale of several apartment complexes, an office building, and a neighborhood shopping center in Southern California, with sale prices in the aggregate in excess of One Hundred Million Dollars, for undisclosed domestic investor.

· Purchase of several separate parcels of raw land for CoastFed Properties in Southern California, with purchase price in the aggregate in excess of Two Hundred Million Dollars, in connection with the construction of apartment complexes, shopping centers and office buildings.

 

· Transfer of over 35 properties located in over 15 states for undisclosed syndicator in master limited partnership roll-up/reorganization.

· Representation of several institutional and developer-oriented buyer entities in several other multi-million dollar purchases of office buildings, industrial projects, apartment complexes, retail centers, and hotels, and real property secured notes.
